Membership Terms and Conditions

501(c)(3) Charitable Foundation Membership & Donation Agreement

This Terms and Conditions Agreement (“Agreement”) outlines the terms applicable to all prospective members, donors, contributors, and participants of Top of Mind Palm Beach.

Top of Mind Palm Beach Status

Top of Mind Palm Beach is organized and operated as a nonprofit charitable organization under Section 501(c)(3) of the Internal Revenue Code. All donations are used exclusively to support the Foundation’s charitable, educational, and community purposes.

Membership Contribution Disclosure

By applying for or accepting membership, all prospective members acknowledge and agree that membership requires the following financial contributions:

• Initial Total Donation: $12,500

• Initiation Fee: $2,500 (one-time)

• Annual Membership Donation: $10,000

• The initiation fee and annual membership fee ($12,500) must be paid in full unless otherwise approved in writing by the Top of Mind Palm Beach Board of Directors. All contributions are voluntary charitable donations made in support of Top of Mind Palm Beach's mission and programs. Failure to make required payments may result in suspension or termination of membership privileges.​

No Ownership or Equity Interest

Membership or contribution to Top of Mind Palm Beach does not provide any ownership interest, equity, voting rights (unless otherwise specified in the bylaws), or financial return. Contributions are charitable in nature and are not investments.

Tax Deductibility

Contributions may be tax-deductible to the extent permitted by law (In Filing state). Donors are encouraged to consult their personal tax advisor regarding deductibility and tax treatment.

Top of Mind Palm Beach Protection Clause

By becoming a member, participant, donor, client, or affiliate of Top of Mind Palm Beach, all individuals acknowledge and agree to the following terms and conditions:

1. Good Faith Participation
   All parties agree to conduct themselves honestly, respectfully, and in good faith in all dealings with the Top of Mind Palm Beach.

2. No Abuse or Misconduct
   Any form of abuse, harassment, defamation, threats, fraudulent activity, misuse of Top of Mind Palm Beach resources, or conduct deemed harmful to Top of Mind Palm Beach, its members, staff, reputation, or operations may result in immediate suspension or termination of membership, services, or participation without refund.

3. Concerns and Doubts
   If a member or participant has doubts, concerns, complaints, or disputes regarding Top of Mind Palm Beach, they agree to first submit such matters in writing to Top of Mind Palm Beach Board of Directors and allow a reasonable opportunity for review and resolution before making public statements or taking external action.

4. Protection of Reputation
   Members and participants agree not to knowingly spread false, misleading, or damaging information regarding Top of Mind Palm Beach, its officers, employees, affiliates, or members.

5. Right to Refuse or Revoke Membership
   Top of Mind Palm Beach reserves the right, at its sole discretion, to refuse, suspend, revoke, or terminate any membership, participation, or affiliation if behavior is determined to be abusive, disruptive, unethical, unlawful, or contrary to Top of Mind Palm Beach’s mission and values.

6. Limitation of Liability
   Top of Mind Palm Beach shall not be liable for indirect, incidental, special, or consequential damages arising from participation, membership, or use of Top of Mind Palm Beach services.

Amendments

Top of Mind Palm Beach has reserves the right to amend or update these Terms and Conditions at any time. Continued participation or membership constitutes acceptance of any revised terms.

Acknowledgment (Acceptance of Terms)

After reading through the Terms and Conditions and By Clicking The Membership Agree to Terms, Check Box on the Membership form, the prospective member confirms that they:

• Have read and understood these Terms and Conditions;

• Are fully aware of the required financial contributions associated with membership; and

• Agree to comply with all membership requirements and policies of the organization.
